Ethical link building is a term used to describe certain link building techniques that are not viewed to be spam.

It's probably better to define what is unethical link building than what is ethical link building - there are many automated techniques that are considered to be an annoyance (in the same way that email spam is) and these techniques are considered unethical. These include:

  • automated blog comment spam
  • forum spamming
  • creating sites for the purpose of link to other sites (usually "spam directories")

Generally, search engines can monitor most of these techniques and as such have developed various methods to attempt to penalise sites use them and as such it is highly recommended that businesses wishing to achieve long term success on search engines avoid these techniques.
